1. Definitions
“Yonder”, “we”, “our” or “us” means Yonder Technologies Ltd, a company registered in England & Wales (Company No. 12345678) whose registered office is 10 Castle Street, Cardigan, SA43 1JA, United Kingdom.
“Platform” means the Yonder websites, mobile apps and APIs.
“Restaurant” means a food business that lists menu items for sale on the Platform.
“Customer” or “you” means the natural person placing an order via the Platform.
“Order” means a request for food or beverage items transmitted through the Platform.
“Contract” means the legally binding agreement formed between Customer and Restaurant for each Order, subject to these Terms.
2. About Yonder
Yonder operates an online marketplace that connects Customers with independent Restaurants for takeaway and delivery. Yonder is not the manufacturer, packer or seller of any food. We act as disclosed agents for Restaurants when accepting Orders and collecting payment.
3. Account Registration & Eligibility
You must be at least 18 years old and capable of forming a contract under UK law to open a Yonder account. You are responsible for safeguarding your login credentials.
4. Placing an Order & Formation of Contract
- The Platform shows menu items supplied by each Restaurant, including price, taxes (where applicable) and stated allergens.
- When you press “Place Order” you make an offer to buy; a Contract is only formed once the Restaurant accepts the Order.
- Your payment card is authorised at checkout but charged only after acceptance. If the Restaurant rejects the Order, the authorisation lapses or is voided.
- The Restaurant is solely responsible for fulfilment — including preparation, packaging, quality, and delivery (unless a Yonder-branded courier service is expressly shown at checkout).
5. Prices & Payment
All prices are set by Restaurants. Yonder collects payment on the Restaurant’s behalf via Stripe Connect. A Yonder service fee (where applicable) will be shown before checkout. Prices include VAT unless stated otherwise.
6. Allergen Information & Food Safety
- Restaurant Duties
- Restaurants must supply accurate allergen data for each dish in line with the Food Information Regulations 2014 and the Food Information (Amendment) (England) Regulations 2019 (“Natasha’s Law”). Food Standards Agency Food Docs
- Restaurants must highlight the presence of any of the 14 legally-defined allergens and keep this information up to date.
- Platform Measures
- Yonder requires allergen fields to be completed during menu upload and blocks publication of items where mandatory allergen data is missing.
- For any dish where a Restaurant declines to provide allergen information, the item is flagged with the warning “Allergen information not supplied—contact the Restaurant before ordering.”
- Yonder monitors complaints and may suspend Restaurants that repeatedly fail to comply with allergen-labelling laws. Royal Society for Public Health
- Customer Responsibilities
- If you have a food allergy or intolerance you must contact the Restaurant directly before ordering to confirm that a dish is safe for you.
- By placing an Order you acknowledge that the allergen data shown is provided by the Restaurant and that cross-contamination risks may exist.
- Liability
- To the fullest extent permitted by law, Yonder disclaims all liability for any loss arising from inaccurate or incomplete allergen information provided by a Restaurant. Nothing in these Terms limits liability for death or personal injury resulting from negligence.
7. Cancellations & Refunds
- You may cancel an Order until it is accepted by the Restaurant. After acceptance, cancellation is at the Restaurant’s discretion.
- If the Restaurant cannot fulfil your Order (e.g. out-of-stock items), it may offer an alternative or issue a full refund.
- Refunds are processed via the original payment method and may take 3–5 business days to appear.
8. Delivery & Collection
Estimated delivery/collection times are set by Restaurants. Delays may occur. Risk in the goods passes to you on delivery or collection.
9. User Content & Reviews
You may post reviews or other content where the feature is available. You must not post any content that is unlawful, defamatory, misleading or infringes third-party rights. Yonder may remove content at its discretion.
10. Intellectual Property
All Platform software, design, logos and content (other than Restaurant menus) are owned by or licensed to Yonder. You may not copy or exploit them without permission.
11. Platform Availability
Yonder strives for uninterrupted service but does not guarantee that the Platform will be error-free or continuously available. Maintenance windows and technical issues may occur.
12. Limitation of Liability
Except as expressly stated, Yonder shall not be liable for:
- indirect or consequential losses;
- loss of profits, business or data;
- any act or omission of a Restaurant.
Yonder’s total liability arising out of or in connection with these Terms shall not exceed the greater of £100 or the total value of the Order giving rise to the claim.
13. Indemnity
You agree to indemnify Yonder against all claims or losses arising from your breach of these Terms or misuse of the Platform.
14. Suspension & Termination
We may suspend or terminate your account immediately if you breach these Terms, misuse the Platform, or engage in fraudulent or abusive behaviour.
15. Changes to These Terms
We may modify these Terms from time to time. Updated Terms will be posted on the Platform with a new “Effective Date.” Continued use after changes constitutes acceptance.
16. Governing Law & Jurisdiction
These Terms and any dispute or claim (including non-contractual disputes) are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that consumers resident in Scotland or Northern Ireland may also bring proceedings in their home courts.
